1. Acceptance of Terms

By clicking “I Agree” or registering to use the Portfolio Projector platform (the “Service”), you (“User” or “you”) affirm that you are of legal age (at least 18 years old) and have the authority to enter into this agreement on your own behalf or on behalf of the organization you represent. You represent that you have the legal power to bind your organization to these Terms. If you do not agree to these Terms of Service (“Terms”), do not create an account or use the Service.

2. Description of Service

Portfolio Projector is a proprietary web-based platform providing financial modeling tools and data visualizations. The Service includes software, databases, algorithms, designs, user interface elements, processes, and other materials that are proprietary to Portfolio Projector or licensed to it.

You represent that you are at least 18 years of age and have the authority to enter into these Terms on behalf of yourself or any organization you represent. If you are using the Service on behalf of an organization, references to “you” in these Terms include both you and the organization.

5. No Financial Advice

The Service provides information and tools for educational and informational purposes only. Portfolio Projector does not provide financial, investment, legal or tax advice, and is not a bank, broker, lender or financial advisor. Users should consult qualified professionals before making investment or financial decisions. The Company disclaims liability for any decisions made based on the Service.

6. Fees and Payment

Certain features of the Service may require payment of fees, such as subscription fees or other charges. When you sign up for a paid subscription, you agree to pay the applicable fees and authorize Portfolio Projector (or its payment processor) to charge your chosen payment method. Payments are processed by our third-party payment processor, Stripe, Inc. (“Stripe”). By making a payment, you agree to provide accurate billing information and authorize us and Stripe to charge the fees to your payment method. Portfolio Projector does not store your full payment-card information; Stripe processes and stores it on our behalf subject to its privacy policy and terms of service. Your use of the payment services may be subject to additional terms and conditions imposed by Stripe. If your payment method cannot be charged for any reason, we may suspend or cancel your access to the paid features until payment is received.

7. Promotions and Free-Trial Offers

We may offer promotions or free-trial subscriptions from time to time, such as a twenty one (21)-day free trial for new subscribers. These promotions are available only to first-time subscribers and cannot be combined with any other discounts or offers. In order to activate a promotion or free trial, you must provide a valid payment method and accept these Terms. Unless otherwise stated, at the end of the promotional period your subscription will automatically convert to a paid plan and the then-current fees will be charged to your payment method on file unless you cancel before the promotional period expires. We will send a reminder prior to the end of any free-trial period where required by law. You may cancel the promotion or free trial at any time during the promotional period by following the cancellation instructions in your account settings; cancellation will take effect immediately. We reserve the right to modify or discontinue any promotional or free-trial offer at any time. All other provisions of these Terms apply during any promotional or free-trial period.

8. User Conduct and Prohibited Activities

You agree not to engage in any of the following when using the Service:

• Posting or transmitting content that is threatening, harassing, degrading, hateful, discriminatory, defamatory, fraudulent, or otherwise illegal;
• Uploading or distributing viruses, worms, spyware, malware, or other harmful code;
• Collecting or harvesting personal information of others without permission;
• Introducing bots, spiders, crawlers, scripts, or other automated tools to access or scrape the Service, including for training artificial-intelligence models;
• Using the Service to circumvent or defeat security measures, hack, or otherwise interfere with the proper functioning of the Service;
• Reproducing, duplicating, copying, framing or mirroring any part of the Service without our prior written permission;
• Using the Service to compete with us or to develop a substantially similar product;
• Systematically downloading or storing Service content;
• Engaging in any conduct that violates applicable laws or regulations.

9. User Content and Submissions

If the Service allows you to submit or upload content (including data, feedback, reviews, comments, or other materials) (“Submissions”), you retain ownership of your Submissions. However, by submitting content, you grant Portfolio Projector a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to reproduce, distribute, perform, display, modify, adapt, create derivative works from, and otherwise use your Submissions for any lawful purpose, including marketing and promotional uses. You waive any moral rights you may have in your Submissions and represent that you have all rights necessary to grant this license.

10. User Information Accuracy

You agree to provide accurate, current and complete information when creating an account and using the Service. You must promptly update any information that becomes inaccurate. Information submitted through the Service is governed by the Portfolio Projector Privacy Policy.

11. Third-Party Materials and Links

The Service may contain links to or integrate third-party websites, services, or content (“Third-Party Materials”). Portfolio Projector does not control or endorse Third-Party Materials and is not responsible for their availability, accuracy, or content. Your use of Third-Party Materials is at your own risk and subject to any terms of the third-party providers. We may disable or remove access to Third-Party Materials at any time.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” Portfolio Projector disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free or that the Content is accurate or complete. You use the Service at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law, Portfolio Projector and its directors, officers, employees, and agents will not be liable for any indirect, consequential, incidental, special or punitive damages arising from your use of the Service, even if advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the greater of the total amount you paid in the twelve (12) months preceding the event giving rise to the claim or US$100. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Portfolio Projector, its affiliates and their respective directors, officers, employees and agents from and against any claims, liabilities, damages, losses, costs or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service or violation of these Terms.

15. Modifications to Service and Terms

We may modify, suspend or discontinue the Service or any part of it at any time. We may also revise these Terms. If we make material changes, we will provide notice by updating the “Last Updated” date or by other reasonable means. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use.

16. Termination

We may terminate or suspend your access to the Service at our discretion, including for violations of these Terms or if your account remains inactive for an extended period. Upon termination, your license to use the Service ceases immediately. Provisions that by their nature should survive termination (e.g., intellectual-property rights, limitations of liability, indemnification, governing law, dispute resolution) will remain in effect.

17. Export Compliance and Jurisdictional Issues

The Service is controlled and operated from the United States. You agree to comply with all U.S. export control laws and regulations and not to access or use the Service from any jurisdiction where doing so would be unlawful. You are responsible for compliance with local laws.

18. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict-of-law principles. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in Detroit, Michigan. Arbitration shall be on an individual basis; you waive any right to participate in a class action or class arbitration. Judgment on the award may be entered in any court of competent jurisdiction.

20. Miscellaneous

These Terms constitute the entire agreement between you and Portfolio Projector regarding your use of the Service and supersede all prior agreements or understandings. If any provision is found to be invalid or unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver. You may not assign your rights or obligations without our prior written consent; we may assign these Terms at any time. A printed version of these Terms and any notice given in electronic form shall be admissible in judicial or administrative proceedings.

21. Monitoring and Enforcement

We may (but do not have an obligation to) monitor, record and analyze your access to and use of the Service for security, operational, quality, or compliance purposes and to enforce these Terms. We may disclose information regarding your access to and use of the Service, and the circumstances surrounding such access and use, to our service providers, law enforcement authorities, regulators or others in accordance with our Privacy Policy and applicable law. By using the Service, you consent to such monitoring and disclosure.
